If you are wondering why D doesn't have a "were" ( "among them were the threat of a rival’s multibillion-dollar patent-fringement suit and the decline in sales of ), you need to get a grammar book and read about a concept called "Nominative Absolute".

No, this concept is not explained in any of the OAs written by GMAC or by any other test preparation company.
