Most top business schools will permit this kind of university certification to replace the TOEFL, but not all. For example, the University of California system -- UCLA and Berkeley, among others -- require the TOEFL for applicants from India, regardless of the language of instruction in their undergraduate studies. So you'd have to check on a case by case basis.

Only for undergrad. But also be aware: it doesn't count if you're in a non-native country. that means Indians, Taiwanese, Hong Kong, even if you studied in English you have to take the test.

An interesting comparison would be the wording Chicago Booth uses, as opposed to, say Berkeley Haas. Booth would let an Indian student waive the TOEFL if his/her undergraduate studies (not high school) were entirely in English, Haas would not. Same background, different options. Indian applicants are the ones who deal with this question the most, but it's also relevant for graduates of other schools where English is the primary language of instruction, such as the Recanati School at Israel's Interdisciplinary Center. So this has to be taken on a case-by-case basis.

In any case, the TOEFL isn't nearly as hard as the GMAT; many international students just take it to get it out of the way, so that they don't have to worry about limiting their options.
