This is a nice question.

I chose B ..but after looking at the OA, the only difference I find between B and E is the casual tone(should) VS necessity(will).
...waiting for experts to comment.

I think this question follows (if....then....)conditional structure.

If....(present tense)..then...(future tense)

B. Public companies should raise their governance game if they wish to compete
with private firms ( ORIGINAL QUESTION SAYS - Will be required to, this option says - "should", which means a condition, INCORRECT )
C. Public companies would need to raise their governance game if they wish to
compete against private firms ( WOULD + if clause in present tense, INCORRECT )
D. Public companies have to need to raise their governance game if they are to
be in competition with private firms ( have to need to - Wierd and condition - INCORRECT )
E. Public companies will need to raise their governance game if they are to
compete with private firms. ( CONTENDOR )

I choose E over A, because "
will need to" is better than "will be required to".
"they are to" is less wordy than "want to be able to".

Overall E is more concise and active than A.

It's a slight change in meaning. "to be + to" encompasses desire and obligation and expectation all in one. I don't remember seeing anything in the OG about it being awkward (but that doesn't mean it doesn't say that!).
