I am able to eliminate A and B using pronoun reference.
It was really difficult for me to pick one among C,D and E.
I picked D because C and E use that (suboridanate clause) with the word stipulates which I feel is awkward.
Thus IMO D.

Actually while answering the question I wa conveinced that the word stipulated doesnot require 'that'.
So I missed to view the other differences.
This reminds me of a post by David (to remove blinkers while answering questions.)

STIPULATE is one of those words of command ("bossy" words) that generate the subjunctive . . . which is always a challenge to recognize.
Why is option E in correct? I was able to eliminate the others and I was down to C & E. I dont quite understatand what you mean by Passive voice is required. Can you explain?gmatmachoman:
